You must be at least 18 years old and authorized to enter into agreements on behalf of your dealership or organization to use the Service. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

Your dealership's designated owner or administrator is responsible for managing user roles, permissions, and access within the Service.

Access to the Service is provided on a subscription basis. Pricing, billing intervals, and trial terms will be presented to you at sign up and may also be set out in a separate order form.

You retain all rights in the data you submit to the Service ('Customer Data'). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service.

You are responsible for the accuracy and legality of Customer Data and for obtaining all necessary consents to provide it to us.

The Service, including all software, design, content, and trademarks, is owned by DelosKPI or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Each party agrees to protect the other's non-public business and technical information disclosed in connection with the Service and to use it only as necessary to perform under these Terms.

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. Scheduled maintenance windows will be communicated when reasonably practical.

You may cancel your subscription at any time from your account settings or by contacting us. We may suspend or terminate your access if you materially breach these Terms or fail to pay fees when due. Upon termination, your right to access the Service ends, and you should export any Customer Data you wish to retain before the effective date.

The Service is provided 'as is' and 'as available' without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that any KPI calculation will be free of inaccuracies.

To the maximum extent permitted by law, DelosKPI's aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the twelve months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, consequential, or punitive damages.

You agree to defend, indemnify, and hold harmless DelosKPI, its affiliates, and their officers, directors, employees, and agents from any claim, loss, or expense arising from your Customer Data, your use of the Service, or your breach of these Terms.

These Terms are governed by the laws of the jurisdiction in which DelosKPI is incorporated, without regard to conflict-of-law principles. Any dispute will be resolved in the courts of that jurisdiction, except where binding arbitration is required by an applicable order form.

We may update these Terms from time to time. If changes are material, we will notify you in advance through the Service or by email. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes.
